The Legislative Decree 231/2001 introduced into the Italian legal system a new regime of corporate liability for legal entities for crimes committed in their interest by employees, managers and third parties operating on their behalf. Administrative liability for legal entities is in addition to the liability of the subject who commits the crime.

Companies can protect their interests by adopting and respecting organisation and internal management models, able to prevent the committing of crimes at any level unless specifically circumvented by employees.

P.L. Ferrari & Co. has adopted its own specific management model as provided for by the Decree and approved by its Board of Directors, the “231 Model”, conceived and arranged with specific focus on the activity performed.

The Supervisory Body that monitors the functioning and the observance of the Model, has autonomous powers of initiative and control, different from those of the Board of Directors, and has the qualities of professionalism, honourability, independence, functional autonomy and the necessary competence for the performance of its duties.

Modello 231

Il D.Lgs. 231/2001 ha introdotto nell’ordinamento italiano un nuovo regime di responsabilità per le persone giuridiche per reati commessi nel loro interesse da dipendenti, soggetti in posizione apicale e soggetti terzi operanti per loro conto. Tale responsabilità amministrativa delle persone giuridiche va dunque ad aggiungersi alla responsabilità del soggetto che commetta l’atto illecito. Le aziende possono cautelarsi adottando e facendo rispettare modelli di organizzazione e gestione interna idonei a prevenire la commissione dei reati ad ogni livello a meno che queste non vengano esplicitamente aggirate dal dipendente. La P.L. Ferrari & Co. si è dotata di un proprio specifico modello gestionale previsto dal decreto ed approvato dal proprio consiglio di amministrazione il “Modello 231”, concepito e predisposto tenendo conto dell’attività svolta. L’Organismo di Vigilanza che monitora il funzionamento e l’osservanza del Modello è dotato di autonomi poteri di iniziativa e controllo, distinti da quelli del CdA, e riveste doti di professionalità, onorabilità, indipendenza, autonomia funzionale e competenza necessaria per lo svolgimento dei compiti ad esso affidati.
